1. Scope and Consent

The internet site girbaud.com (hereinafter referred to as "the Site") is operated by the company, MAD LANE SAS (hereinafter referred to as "MAD LANE"), with a share capital of 50,000.00€, registered under no. 812 146 603 on the Trade and Companies Register (RCS) in Nanterre, France, with registered offices at 31, rue des Graviers in Neuilly sur Seine (France).

Use of the Site and access to the services offered on the Site is subject to the terms and conditions (hereinafter referred to as "the Terms and Conditions") set out below. All users of the Site (hereinafter referred to as "the User") acknowledge that they have read, understood and accept without reserve the Terms and Conditions. Likewise, by using the Site, the User also acknowledges that they have read and expressly accept the privacy and protection of personal information policy (hereinafter referred to as "the Privacy Policy") set forth in article 4 here below.

The company, MAD LANE, may, at any time, modify and update the Terms and Conditions and the Privacy Policy. The Terms and Conditions and the Privacy Policy applicable are those in effect when the Site is used.

 

2. Registration

 

To reserve an invitation to a sales event organized by MAD LANE, (hereinafter referred to as "the Invitation"), to request information regarding future sales events, or to make an online purchase, the User must register and provide all the information required for this purpose. The information provided by the User must be accurate, valid, up-to-date and true. The User must update this information in the event of any changes. If any false, erroneous, inaccurate, outdated or incomplete information is submitted, the User will not be able to benefit from the services offered on the Site.

3. Use of the Invitations

 

The User agrees to use the Invitation received personally, and not to allow any third party to use it in the User’s place. Likewise, the User is expressly forbidden from using the Invitation for any commercial purposes and, in particular, from cashing in, selling, offering, exchanging and, more generally, trading the Invitation. In the event of any breach of this rule, MAD LANE may refuse the holder of the Invitation access to the sales event as well as access to the services offered on the Site to the User.

 

4. Security & Privacy

 

The User may use the Site without providing personal information to MAD LANE. They must, however, provide certain information, namely their first name, surname, postal address, e-mail address and, if applicable, their telephone number, if they wish to receive an Invitation and / or alerts concerning future sales events, as well as the information required under the Terms and Conditions of Sale in order to make an online purchase.

 

Article 4 sets out how MAD LANE collects, uses, shares, stores and protects the personal information communicated by the User. The Privacy Policy applies regardless of how the User accesses or uses the Site.

 

If the User decides to take advantage of the services offered on the Site, they accept that MAD LANE may collect, use and disclose information about them, including personal information, under the conditions hereby defined in article 4. If the User does not accept the terms of article 4, they are requested not to register on the Site to benefit from the services.

 

Personal information collected on the Site about the user is kept confidential and treated with due respect for the User’s rights to privacy. This information is accessible only to the persons in charge of MAD LANE’s commercial and administrative departments, and, where appropriate, to companies contractually associated with MAD LANE, and only in so much as it is strictly relative. In the event that the assets of MAD LANE are transferred to a third party, either fully or partially, the list of users and data relating to the users of the Site may be included in the transferred assets.

 

Registration on the Site also offers the User the opportunity to receive information likely to interest them. The User may also unsubscribe from the newsletters, which they are entitled to receive through registration on the Site, by simply clicking on the link provided at the bottom of the page of the last newsletter received.

 

Similarly, in accordance with data protection and freedom of information acts (the law known as "Informatique et Libertés"), the User is entitled to access, modify, rectify and delete any of their personal details. The User may exercise this right by contacting the Customer Service department as indicated above.

 

The information provided by the User on the Site will be stored on MAD LANE’s server in France. MAD LANE has put in place security measures to protect the personal information it receives from the User against loss, theft, misuse as well as unauthorized access, use, disclosure, modification or destruction. The User, however, declares that they are aware that no data transmission over the Internet is fully secure, and that any information communicated may potentially be intercepted and used by persons other than the intended recipient.

 

The User is also informed that MAD LANE operates internal risk prevention measures, which, in the event of non-compliance with the Terms and Conditions, may result in the User being refused access to the services offered on the Site, except in case of established regularisation.

5. Cookies - Links

MAD LANE may combine this  information with other information collected about the User, and use it for different purposes, in particular to improve the Site and the online experience, to count the number of visits, to evaluate the effectiveness of an operation, to adapt its services, as well as other internal purposes. The User must carefully read the privacy and personal data protection policies of third-party websites, and contact the editors of these websites if they have any questions about how these websites use information about the User. MAD LANE can not be held responsible if said third parties do not comply with the third party’s privacy policy or the contractual or legal obligations to which the third party may be subject when using information about the User. 

 

 6. Intellectual Property

 

The systems, software, structures, infrastructures, databases and contents (texts, photographs, images, visuals, music, logos, brands, etc.) used by and on the Site are protected by the provisions of the Intellectual Property Law. Any dismantling, decompiling, decryption, extraction, re-use, copying and, more generally, any act of reproduction, representation, distribution and use of any of its elements, in whole or in part, without the prior written permission of MAD LANE is strictly forbidden.

 

 7. Responsibility

 

MAD LANE conducts regular checks to verify the accessibility of the Site and to ensure that it is operating correctly. To this end, the company may temporarily interrupt access to the Site in order to carry out maintenance, and, as such, declines all responsibility in these circumstances. Similarly, MAD LANE can not be held responsible for temporary difficulties in accessing the Site due to circumstances beyond its control, such as a case of force majeure or disruption of the telecommunications network. The User is also hereby informed that at certain times there is a surge in internet users, which may affect access to the Site and the services it offers.

 

In general, MAD LANE can not be held liable for any damage or loss resulting directly or indirectly from:

 

-       the User's inability to use the Site or the Services,

-       any delays in the procurement of the services or disruptions to the use of the Site,

-       a virus, data overwriting program or any other destructive material or malicious software contracted by accessing the Site or the services,

-       malfunctions, bugs, errors or any inaccuracies within the Site.

 

Similarly, MAD LANE shall under no circumstances be held responsible, to the User or any third party, for any damages resulting from a total or partial non-execution, or from poor execution of its obligations by the User, or their improper use of the Site or Services.

 

 8. Complaints - Information – Notifications

 

Any complaint, additional request for information or notification made within the framework of the Terms and Conditions must be addressed to the Customer Service department, whose contact details can be found in article 4 above, and must include the User’s identity (first name, surname, contact details), and where relevant, grounds for the complaint,.

 

 

9. Applicable Law - Settlement of disputes

 

These Terms and Conditions are governed by French law.

 

In the event of a dispute, the parties shall endeavour to resolve matters amicably. If no amicable settlement is reached within 30 days of the notification of the dispute by one party to the other party, the User may resort to a conventional mediation procedure or any other alternative dispute resolution procedure, or go before the court of appropriate jurisdiction.

 

MAD LANE reserves the right to seek and obtain orders or injunctions to protect its rights under these Terms and Conditions.

 

 

10. Inception

 

These Terms and Conditions came into effect as of October 27, 2015.
